Terms of Sale

These Terms of Sale apply to purchases, evaluation licenses, subscriptions, downloads, license activation, renewals, and related services for RungTrace. By purchasing, downloading, activating, or using RungTrace, you agree to these Terms, the RungTrace End-User License Agreement, and the Privacy Policy.

Business And Professional Use

RungTrace is intended for professional controls, engineering, maintenance, and industrial troubleshooting use. You are responsible for making sure your personnel are qualified to use the software and that use of the software complies with your internal safety procedures, applicable laws, site rules, and control-system requirements.

Orders And Accounts

You agree that purchase, billing, license, and account information you provide is accurate and that you are authorized to purchase or manage licenses for the person or organization you represent. We may refuse, cancel, or limit orders if we believe they are inaccurate, unauthorized, fraudulent, abusive, or otherwise improper.

Prices, Taxes, And Payment

Prices are shown on the website or in a written quote. Prices may change for future purchases or renewals. Taxes, duties, currency conversion charges, bank fees, and similar charges are your responsibility unless expressly stated otherwise. Payment may be processed by third-party checkout and payment providers under their own terms.

Subscriptions And Renewals

RungTrace licenses are sold as annual access unless a written quote or order states otherwise. Access to the application ends when the subscription expires unless renewed. Renewal terms, pricing, and availability may change before renewal. If automatic renewal is offered and enabled, you authorize renewal charges until you cancel according to the checkout or account-management process.

Evaluation Licenses

Evaluation access is not automatically available. We may issue time-limited evaluation licenses, including 30-day licenses, at our discretion and only when expressly provided. Evaluation access is provided for review only, may be limited, and may be modified or discontinued at any time. We may deny or end evaluation access if we believe it is being misused or duplicated.

License Delivery, Activation, And Transfers

RungTrace uses machine-locked license activation. Internet access is required for initial activation, and the application is designed to work offline after activation. You are responsible for keeping your license keys and account access secure. License transfers may be available through self-service deactivation and reactivation, subject to technical limits, anti-abuse controls, and the active status of your subscription.

Refunds

Except where required by law or expressly stated in writing, purchases are non-refundable once a license is issued or activated. If you believe a charge was made in error, contact us promptly through the support link on the RungTrace website. We may provide refunds, credits, or extensions at our discretion, but doing so in one case does not create an obligation to do so in another.

Downloads, Updates, And Availability

We may provide downloads, patches, compatibility updates, bug fixes, and feature updates during an active subscription. We do not guarantee that every update will support every prior operating system, controller firmware, project export, or customer environment. We may modify, suspend, or discontinue features, downloads, or services where needed for security, reliability, legal compliance, provider changes, or product evolution.

Support

Support is provided through the support channels we make available. Support does not include responsibility for your PLC program design, plant safety, process outcomes, network configuration, Rockwell software, controller firmware, third-party products, or on-site troubleshooting unless separately agreed in writing.

Industrial Safety

RungTrace may allow users to monitor and write supported PLC tag values. You are solely responsible for validating actions before applying them to live equipment. Do not rely on RungTrace as a safety system, emergency stop, interlock, backup, alarm system, or substitute for qualified engineering judgment. Always follow plant procedures and verify the state of equipment before making changes.

Intellectual Property

RungTrace, the website, software, documentation, branding, designs, and related materials are owned by their respective owners and are protected by intellectual property laws. Purchasing a license gives you only the rights stated in the End-User License Agreement. It does not transfer ownership of the software.

Allen-Bradley, ControlLogix, CompactLogix, Studio 5000, RSLinx, and related names are trademarks of Rockwell Automation, Inc. RungTrace is not affiliated with, sponsored by, approved by, or endorsed by Rockwell Automation, Inc.

Prohibited Conduct

You may not misuse the website, checkout, license systems, downloads, or software; attempt unauthorized access; interfere with services; copy or resell licenses except as expressly allowed; share license keys outside your organization; bypass activation; reverse engineer the software except where law prohibits this restriction; or use RungTrace in violation of law or third-party rights.

Disclaimers

To the maximum extent permitted by law, RungTrace, the website, downloads, licenses, support, and related services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, or error-free operation.

Limitation Of Liability

To the maximum extent permitted by law, RungTrace and its owners, developers, suppliers, and providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost data; business interruption; downtime; production loss; equipment damage; process loss; personal injury; property damage; or costs of substitute goods or services arising from or related to the website, software, licenses, support, or these Terms. Our total liability for all claims is limited to the amount you paid for RungTrace during the 12 months before the event giving rise to the claim.

Indemnity

You agree to defend, indemnify, and hold harmless RungTrace and its owners, developers, suppliers, and providers from claims, damages, losses, liabilities, costs, and expenses arising from your use of the software, your PLC systems, your violation of these Terms, your violation of law, or your infringement of third-party rights.

Governing Law

These Terms are governed by the laws of the United States and the state where RungTrace is principally operated, without regard to conflict-of-law rules. Courts located in that state will have exclusive jurisdiction unless applicable law requires another forum.

Changes

We may update these Terms from time to time. Updated Terms will be posted on this page with a new last-updated date. Continued use of the website, checkout, license services, or software after an update means you accept the updated Terms where permitted by law.
