Contracting Entity and Notices

You are contracting with Webb Innovations, LLC, located at 328 County Road 110 East, Norris City, IL 62869. Legal notices must be sent to legal@webbinnovations.com and, where required, to the mailing address above. Notices to you may be sent to the email address or billing contact associated with your quote, order, purchase request, invoice, or account.

Eligibility and Business Use

RungTrace is intended for professional controls, engineering, maintenance, and industrial troubleshooting use. You represent that you are authorized to use the website and services and, if acting for an organization, that you have authority to bind that organization. You are responsible for making sure personnel are qualified and that use of RungTrace complies with internal safety procedures, applicable laws, site rules, and control-system requirements.

Orders, Quotes, and Authority

You agree that purchase, quote, billing, license, and account information you provide is accurate and that you are authorized to purchase or manage licenses for the person or organization you represent. We may refuse, cancel, or limit orders if we believe they are inaccurate, unauthorized, fraudulent, abusive, or otherwise improper. Quotes are valid only for the period stated on the quote.

Pricing, Taxes, and Payment

Prices are shown on the website, checkout page, invoice, or written quote. Prices may change for future purchases or renewals. Taxes, duties, currency conversion charges, bank fees, and similar charges are your responsibility unless expressly stated otherwise. Payment may be processed by Stripe, DevoLens / Cryptolens, or another payment or invoicing provider shown during checkout or invoicing.

Subscriptions, Renewals, and Cancellation

RungTrace licenses are sold as annual access unless a written quote or order states otherwise. Access to the application ends when the subscription expires unless renewed. Renewal terms, pricing, and availability may change before renewal.

If automatic renewal is offered and you enroll in it, we will disclose the renewal term, price or pricing method, and cancellation method before purchase. You may cancel renewal before the next renewal date by following the account or billing instructions we provide or by contacting billing@webbinnovations.com. Cancellation prevents future renewal charges and does not retroactively refund the current paid term unless required by law or expressly stated otherwise.

Evaluation Licenses

Evaluation access is not automatically available. We may issue time-limited evaluation licenses, including 30-day licenses, at our discretion and only when expressly provided. Evaluation access is provided for review only, may be limited, and may be modified or discontinued at any time. We may deny or end evaluation access if we believe it is being misused or duplicated.

Delivery, Activation, and Account Security

RungTrace uses machine-locked license activation. Internet access is required for initial activation, and the application is designed to work offline after activation. You are responsible for keeping license keys, accounts, activation credentials, purchase records, and authorized-user access secure. License transfers may be available through self-service deactivation and reactivation, subject to technical limits, anti-abuse controls, and active subscription status.

Refunds and Billing Errors

Except where required by law or expressly stated in writing, purchases are non-refundable once a license is issued or activated. If you believe a charge was made in error, contact billing@webbinnovations.com promptly with the invoice, order, or transaction details. We may provide refunds, credits, or extensions at our discretion, but doing so in one case does not create an obligation to do so in another.

Website Use Restrictions

You may not misuse the website, checkout, quote request forms, license systems, downloads, or related services; attempt unauthorized access; interfere with services; submit false, malicious, or unlawful content; scrape or overload the site; copy or resell licenses except as expressly allowed; share license keys outside your licensed organization; bypass activation; or use RungTrace in violation of law or third-party rights.

Support and Service Changes

Support is provided through the support channels we make available, including support@webbinnovations.com and the contact page. Support does not include responsibility for your PLC program design, plant safety, process outcomes, network configuration, Rockwell software, controller firmware, third-party products, or on-site troubleshooting unless separately agreed in writing. We may modify, suspend, or discontinue features, downloads, or services where needed for security, reliability, legal compliance, provider changes, or product evolution.

Industrial Safety Notice

RungTrace may allow users to monitor and write supported PLC tag values. You are solely responsible for validating actions before applying them to live equipment. Do not rely on RungTrace as a safety system, emergency stop, interlock, backup, alarm system, or substitute for qualified engineering judgment. Always follow plant procedures and verify the state of equipment before making changes.

Intellectual Property

RungTrace, the website, software, documentation, branding, designs, and related materials are owned by their respective owners and are protected by intellectual property laws. Purchasing a license gives you only the rights stated in the End-User License Agreement. It does not transfer ownership of the software.

Export Controls and Sanctions

You may not use, export, re-export, release, or otherwise transfer RungTrace, downloads, services, or related technical data in violation of applicable export-control, sanctions, or trade laws. You represent that neither you nor your authorized users are prohibited persons and that you will not use RungTrace for prohibited end uses.

Disclaimer of Warranties

To the maximum extent permitted by law, RungTrace, the website, downloads, licenses, support, and related services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, or error-free operation.

Limitation of Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, willful misconduct, or gross negligence. Subject to the foregoing, and to the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, loss of goodwill, or loss of data. Our aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable for the affected subscription or order in the 12 months preceding the event giving rise to the claim, except as otherwise required by law or expressly stated in a written agreement.

Indemnity

You will defend and indemnify RungTrace from third-party claims arising from your unlawful use of the website or services, your breach of these Terms, your unauthorized access to third-party systems, or your infringement of third-party rights, except to the extent caused by our negligence, willful misconduct, or breach of these Terms.

Governing Law and Forum

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. The state and federal courts located in White County, Illinois will have exclusive jurisdiction over any dispute arising out of or related to these Terms, except that either party may seek temporary, preliminary, or equitable relief in any court of competent jurisdiction to protect intellectual property, confidentiality, or security.

Changes

We may update these Terms from time to time. Updated Terms will be posted on this page with a new last-updated date. Continued use of the website, checkout, license services, or related services after an update means you accept the updated Terms where permitted by law.
